This Terms of Service Agreement ("Agreement") sets forth the legally binding terms and conditions under which you ("User," "you," "your") may access and use the services provided by QuickQuant LLC (“Company,” "we," "our," or "us") through our website and related platforms. 7. User-Generated Content

By submitting any content to our services (including comments, questions, or feedback), you grant QuickQuant LLC a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, publish, distribute, and display such content in all forms and media. You represent and warrant that any content submitted does not violate any third-party rights and is not subject to any confidentiality obligations.

8. Disclaimers of Warranties

QuickQuant LLC makes no representations or warranties regarding the accuracy, reliability, timeliness, or completeness of the information provided through the services. All content is provided on an "as-is" and "as-available" basis, without warranty of any kind, either express or implied. To the fullest extent permitted by law, QuickQuant LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, QuickQuant LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to loss of profits, loss of data, or reputational harm. Our total liability to you for all claims, losses, and damages arising out of or related to these Terms shall be limited to the amount paid by you to QuickQuant LLC during the twelve (12) months preceding the event giving rise to the liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless QuickQuant LLC, its affiliates, licensors, and service providers, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the services, your violation of this Agreement, or your violation of any rights of another party.

11. Termination

QuickQuant LLC reserves the right to terminate or suspend your access to our services at any time and for any reason, including but not limited to a breach of this Agreement. Upon termination, your right to use the services will immediately cease. All provisions of this Agreement which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnities, and limitations of liability.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Wyoming, without regard to conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located within Wyoming. You consent to the personal jurisdiction of such courts and waive any objection to the venue of such courts.

13. Changes to Terms

QuickQuant LLC reserves the right to amend, modify, or update this Agreement at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services following any changes constitutes your acceptance of the revised Terms. You are encouraged to review this Agreement periodically to remain informed of any modifications.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and QuickQuant LLC regarding the subject matter herein and supersedes any previous agreements, understandings, or representations.
